Energy and Natural Resources law

Our expertise in this area of practice includes advising companies on the issue of payment of fee to transmission owners, which covers the costs of investment, operation and maintenance and the costs of transmission.
We are able to liaise with Regulatory Authorities on the issue of licenses relating to the generation, transmission, distribution and retailing electricity.
We proffer advice and opinion on third party access in the electricity sector, electricity supply contracts, energy and power transfer between operating companies, prices and compensation for distribution and transmission companies. Our expertise on this area of law is to advise our client on policies that deal with relation between competition policy and consumer protection.
Our firm has proffered advice and acted for indigenous oil exploration companies like Integral Energy Limited, Carlton Marine Limited etc on local content policy for energy sector in respect of joint venture operations, operation agreements and maintenance and compliance issues.

Real Property and Administration of Estates law

We have wide experience both through litigation and non-contentious legal documentation to real property and its administration. The firm has extensive experience in the preparation and stamping of tenancy agreements, property developments, leases agreement, mortgages, assignments and other titles to land and their registrations in the land Registries, procurement of certificates of occupancy and assignments and leases under the Land Use Act. The firm also engaged Estate Valuers to know the open market valuers of land, structures, fixtures and fitting on them. We also conduct searches in the relevant land Registries and investigating the sources of titles to the lands, determining the quantum of interest acquired and advising on them generally, including determining any encumbrances on the lands and their status.
We also prepare wills and procured letters of Administration of estates of interstates and letters of administration (with Will annexed). The firm has conducted and is conducting court cases in various courts in respect of titles to land, damages for trespass, administration of estates and succession to estates of deceased persons, recovery of possession, arrears of rents and mesne profit.
Within this period of our practice, our Firm has jointly or individually had considerable engagements in Real Estate Agency and various aspects of Property Management for Individual, Industrial and Institutional Clients.

Insolvency Practice

Our firm offers wide and in depth services in insolvency related litigation and enforcement proceedings. The firm has a track-record of representing its clients{financial institutions, corporate bodies & individuals} in high profile cases in various aspects among others but not limited to; Litigation in bankruptcy & insolvency proceedings, judicial foreclosures and receiverships, insurance related insolvency that is; advise to insurers and reinsurers, plans of reorganisation, schemes of arrangement, exchange offers and voluntary arrangements, creditors and equity committee representation, operational issues where businesses trade in bankruptcy/insolvency, debt recovery.

Intellectual Property

Our Services include but not limited to the registration, protection, administration and enforcement of trademarks, patents copyrights and designs and oppositions to the registrations of trade mark in Nigeria and Africa, but also in the protection and maintenance of the various intellectual property rights belonging to foreigners and Nigerians.
We also consult and advise clients on matters involving intellectual property rights and provide logistics for trademarks administration and procures technology transfer and its registration, negotiation and preparation of licenses, assignments of intellectual property rights, international distributorship agreements and franchising.

Company and Commercial Law

We have in the Course of our practice, handled several matters at the Federal Ministry of Trade and Tourism on Trademarks, Patents and Designs;
We have established a reliable liaison with the Corporate Affairs Commission – C.A.C. in the incorporation of various types of Companies, registration of debentures, bill of Sale\ Charges, maintenance of accurate and up-date Statutory records and filing and processing of returns at the Corporate Affairs Commission, Abuja. We conduct searches and business investigations locally for foreign clients.
Our firm has acted, and it still acts, as company secretary to a number of Companies here in Nigeria and West Africa, by rendering such company secretarial services which includes but are not limited to attendance and the taking of minutes at Annual General Meeting and Extra-Ordinary General Meetings, of Board of Directors and Management committees meetings.
The firm is able to advise on mergers, acquisitions, corporate restructuring, insolvency, public listing of and foreign investment in companies, act as receivers and liquidators of companies and advice on joint ventures and shareholders’ agreement, capitalization and re-capitalization of companies.
We have also assisted foreign organizations in sourcing for Nigerian agents and representative and facilitating meetings between the parties. We also have considerable experience in the negotiation and documentation of lease and hire purchase arrangements.
An Area of Practice where our Firm has registered its mark is in procurement of various licenses, liaising with the various regulatory authorities for this, including the Central Bank of Nigeria and also updating of legal issues as it relates to financial records for companies.
In addition to our services as solicitors, we have represented and are currently representing several banking institutions before Nigeria’s high and appellate courts, in several law suits, some of which have been concluded, successfully in our favour.
Our services are also available to these banking institutions in the valuation of credit proposals for specialized projects like communications and international trade services where we have considerable expertise and experience.

Communication law

Telecoms Law is an area where our firm has done a number of assignments. We have incorporated and assisted several of our corporate clients to procure various permits or licences and requisite approvals to operate various value added communication services at the Nigerian Communications Commission (which is the regulatory authority for the issuance of various licences).
Our clients in this area of practice include investors, other service providers and telecommunications end-user.
The various communication licences we have obtained from the N.C.C. on behalf of our clients include:

  • licence to operate cyber café services
  • licence to provide and operate value added network service (pre-paid calling card)
  • licence to operate and provide value added network service (internet service provider)
  • licence to provide public pay phone services
  • licence to provide sales\installation of terminal equipment and sales of cable
  • application to NCC for type approval of Telco Equipment
  • Software Licensing
We have also further advised clients with relevant legal inputs towards the effective operation of their respective Communication Projects.
We prepare legal and commercial framework for internet service provision and participates actively in the negotiation of commercial terms and prepare standard agreement for our clients. We consult for several other value added service providers including Allied Technology and Diversified Services Limited, Juniper Solutions Limited, Software and Internet service provider.
We have also attended various seminars both local and foreign and participated actively at the African telecom summit.

Securities and Investment law

Capital Market Operation, as regulated by the Securities and Exchange Commission (S.E.C) in Nigeria, is an area of practice where several solicitors have ventured into. Our firm is a duly registered capital market Adviser and solicitors to issues of shares to the public particularly the shares of Public Limited Liability Companies as well as rendering professional advice to prospective investors on the stock market.
Our firm is abreast with procedures relating to privatization and commercialization of companies. We follow up and advise corporate and individual clients on their capital market transactions and requirements generally. We advise on Nigerian investment laws and regulations generally including but not limited to banking laws and regulations, exportation and repatriation of funds generally.
We also advise on the existing laws and regulations generally governing the relevant privatized industry and the regulatory framework for the industry.

Environmental law

Our firm has played a remarkable role in Environmental Law and we are a member of the Nigerian Environmental Law Society. We have attended series of seminars and workshops organized by both FEPA (Federal Environmental Protection Agency) and LASEPA (Lagos State Environmental Protection Agency) and The Nigerian Environmental Law Society (NELS); The firm is capable of handling marine and oil and gas pollution and environmental issues including environmental impact assessments and compliance certification and claims.
We advise and negotiate on behalf of our client, with the Federal and State Environmental Protection Agencies to ensure compliance with the Agencies regulations and levies. We also advise our clients particularly those in the textile industry on the installation of waste processing plant and initiate negotiations on their behalf with the authorities on import incentives for such machinery.

Immigration law

Our firm also provides legal advice on immigration matters. Our foreign corporate clients and individuals have benefited from our expert assistance in obtaining resident permits, expatriate quotas, business permits to enable them legally invest and carry on various business activities in Nigeria. We have also conducted various visa appeals on behalf of our clients unjustly refused necessary entry visas.

Civil and Commercial Litigation

We undertake proceedings in the High Court, the Federal High Court, the Court of Appeal and the Supreme Court on behalf of our client relating to civil and commercial disputes and whenever possible, we assist clients in avoiding expensive litigation by resolving disputes through mediation and arbitration and when litigation becomes inevitable, stoutly defending or pursuing their interests whenever threatened.
